FISCAL IMPLICATIONS There is no impact to the general fund. There are adequate funds in the Fiscal Year 20252026 budget to support these amendments. CONTRACT HISTORY The original Agreement between the County of Santa Clara with Antonio Reza for Fiscal Year 2025-2026 became effective on July 1, 2025, for a one-year term and had a maximum compensation amount of $300,000. This Agreement was entered into pursuant to a delegation of authority granted to the Director, Independent Defense Counsel Office by the Board of Supervisors on June 7, 2022 (agenda item 87). Docusign Envelope ID: DE6E2E92-EC62-8EE0-8271-C804710AFED3 SECOND AMENDMENT TO THE LEGAL SERVICES AGREEMENT BETWEEN THE COUNTY OF SANTA CLARA AND ANTONIO REZA FISCAL YEAR 2025-2026 The legal services agreement (“AGREEMENT”) by and between the County of Santa Clara (“COUNTY”), a political subdivision of the State of California and Antonio Reza (“ATTORNEY”) effective July 1, 2025, is amended as set forth below, effective June 1, 2026. 1. Section 3, regarding Compensation, is hereby deleted and replaced with the following: 3. Compensation a. COUNTY will pay ATTORNEY for services and reimbursable expenses at the rates set forth in Exhibit A (IDO Fee Schedule for Fiscal Year 2025-2026). Total compensation paid pursuant to this AGREEMENT will not exceed $375,000 (“AGREED AMOUNT”). This amount does not represent a commitment by the COUNTY. ATTORNEY will notify COUNTY when the total amount billed and the estimated amount of work in progress total $281,250.
